PROGRAMME OF SEPARATE SERIES ENDOWMENT WARRANTS

used and not otherwise defined herein have the meaning specified in 
the Offering Circular.

I attach as Appendix A a statement showing, as at 31 March 2000, the 
number of outstanding Endowment Warrants in each Series at that date, 
the number of Endowment Warrants in each Series which were exercised 
or bought back by the Issuer during the period from and including 4 
January 2000 to and including 31 March 2000 and the Issuer's 
relevant interest at 31 March 2000 in the Share over which each 
series of Endowment Warrants is issued.
