Australia and New Zealand Banking Group Limited announces that Mr
Gary Toomey has today advised the Board that he has resigned as a
Director of the Bank.

ANZ's Board wishes to express its appreciation to Mr Toomey for the
contribution he has made to deliberations of the Board since his
appointment in March 1998. The ANZ Board expects to announce the
appointment of a new Director in the near future.
