At the Annual General Meeting of Australia and New Zealand Banking
Group Limited held on 14 December 2001, the following items of
business were passed.

1. Re-election of Mr J K Ellis as a director.
2. Re-election of Ms M A Jackson as a director.
3. Grant of Option to Mr John McFarlane.

The attached Schedule contains the statistics required by section
251AA of the Corporations Act in respect of each motion on the
agenda.
