APPENDIX 4B STATEMENT

The directors of Australia and New Zealand Banking Group Limited
declare that the financial statements and notes of the consolidated
entity set out on pages 73 to 120 are in accordance with the
Corporations Act 2001, including

(a) complying with applicable Australian Accounting Standards and
other mandatory professional reporting requirements; and

(b) giving a true and fair view of the financial position of the
consolidated entity as at 30 September 2002 and of its performance as
represented by the results of its operations and its cash flows, for
the year ended on that date; and

(c) confirm that the financial statements and notes of the
consolidated entity set out on pages 73 to 120 are in the process of
being audited; and

(d) confirm that Australia and New Zealand Banking Group Limited has
a formally constituted Audit Committee.
