ANZ APEP AND APEP PLUS

RELEVANT INTEREST IN ANZ SHARES

Australia and New Zealand Banking Group Limited (ANZ) is required to
disclose to the Australian Stock Exchange the percentage of its
shares in which it has an interest as a result of put options granted
to clients under the ANZ Protected Equity Portfolio and ANZ Protected
Equity Portfolio Plus products.

As at 20 June 2003, ANZ held a relevant interest in 61,047 fully paid
ordinary shares in ANZ, comprising of 0.004% of the issued share
capital of ANZ.
