Important information for ASX Listed Entities

An important Companies Update (issued October 2004) (PDF 115KB) is posted on the ASX website.

This Update provides guidance for listed entities on their continuous disclosure obligations on the adoption of Australian equivalents to International Financial Reporting Standards (AIFRS). It is a revised edition of a Companies Update issued in January 2004.

It is essential that all listed entities are aware of their obligations under Listing Rule 3.1 and related rules, including the operation of the exception to 3.1. For some entities, adoption of AIFRS will produce a
continuous disclosure requirement.

The Update also provides guidance on disclosures relating to the adoption of AIFRS under periodic reporting required by the Listing Rules and offers general guidance applicable to other routine introductions of new or revised accounting standards that will continue to apply after the transition to AIFRS is completed.

The Update will be important reading for CFOs and other staff of listed entities involved in financial reporting as well as any person with a role or an interest in continuous disclosure issues or in financial reporting, such as legal and accounting advisers and auditors.

ASIC Form 484 now on ASX Online

ASIC form 484 - Change to company details - is now available on ASX Online in MS Word format. Like the ASIC 600 and 6000 series forms already available on ASX Online, the form 484 can now be completed online, converted to pdf and elodged to ASX. These ASIC forms are located under Listing Rules on the ASX Online-Companies web site.

It is particularly important that entities comply with timing requirements when advising changes to their capital structure. For example, a cancellation of shares must be advised to ASX at the same time as it is notified to ASIC.
