Advisory Group on Corporate Governance
The Advisory Group on Corporate Governance (AGCG) is an independent advisory body that recommends changes to the Corporate Governance Principles and Recommendations (Principles).
Established in January 2026, the AGCG is an expert advisory body that considers developments in corporate governance relevant to ASX‑listed entities and recommends to ASX any changes to the Principles. Advice provided by the AGCG is non‑binding. Any amendments to the Principles are approved by the ASX Limited Board.
Dr Lowe has extensive leadership experience, most significantly as former Governor of the Reserve Bank of Australia (RBA) and through numerous other leadership roles at the RBA and the Bank for International Settlements (Switzerland). Over the course of his seven-year term as Governor of the RBA, Dr Lowe presided over some of the most turbulent and challenging economic periods in Australia’s modern history, including the global COVID-19 pandemic and a subsequent inflationary surge that tested the limits of economic policy. A lifelong public servant and respected economist, Dr Lowe’s career has been defined by his deep technical expertise, steady leadership, and a commitment to maintaining stability in Australia’s financial system. Throughout his tenure, Dr Lowe spearheaded efforts to modernise the RBA’s internal structure and policy framework, including supporting reviews into the Bank’s governance and transparency, and endorsing reforms to enhance communication and accountability.
Ms Bennett is an experienced governance professional and senior advisor. She is currently a Partner at Brunswick Group where she advises boards in the APAC region on governance issues. Between 2010 and 2019, Ms Bennett was a Managing Director and Head of Investment Stewardship for APAC at Blackrock, the world’s largest asset manager. Prior to this, Ms Bennett spent ten years in leading roles at CGI Glass, Australia’s first proxy advisory firm. She is a Senior Advisor to Oasis Capital Hong Kong, a Member of the Australian Financial Reporting Council and a Council Member Asian Corporate Governance Association.
Ms d’Avrincourt has 22 years of experience as a senior investment professional within the financial services industry, ranging from investment management and research, portfolio construction, strategic asset allocation and exposure management. She is currently Head of Equities at TelstraSuper, managing $15bn in equities. Between 2004 to 2020, Ms d’Avrincourt was an investment manager at HESTA and Vic Super and an equity research analyst at Commonwealth Bank, Merrill Lynch and Goldman Sachs JB Were.
Mr Delaney is an experienced investment executive with extensive knowledge of global capital markets and institutional asset management. He is currently Chief Investment Officer and Deputy Chief Executive of AustralianSuper, where he is responsible for overseeing the fund’s global investment strategy across public and private markets. During his 25 years tenure at AustralianSuper he has helped transform the fund, and its predecessor, into Australia’s largest asset manager with over $400bn of funds under management.
Mr Paine is an experienced company secretary. Since 2012 he has been the Company Secretary of Rio Tinto Limited (ASX: RIO). Mr Paine’s roles prior to this include General Counsel & Company Secretary at Mayne Group, Deputy General Counsel & Company Secretary at ANZ Bank and Legal Counsel for ANZ McCaughan stockbrokers. He is also a member of the Governance Institute of Australia’s Legislation Review Committee.
Ms Rowell is an experienced director and senior executive with significant industry and regulatory expertise in financial services. She is currently Chair of Australian Retirement Trust, Deputy Chair of the NSW State Insurance Regulatory Authority and a Director at Mental Health Australia. She previously chaired a panel appointed by the Insurance Council of Australia which undertook a review of the General Insurance Code of Practice. Between 2002 to 2023, Ms Rowell held roles at APRA, including as Executive Board Member and Deputy Chair, with oversight of prudential regulation and supervision across Australia’s insurance industries and earlier, the superannuation industry.
Mr Torre is a Chartered Accountant and Chartered Secretary. He is an experienced corporate advisor, outsourced company secretary and director for small to mid-cap entities. He is currently Company Secretary for the Australian trading subsidiaries of TSE listed Nomura Research Institute, Ltd. , the APM Group, and a Director of Veem (ASX: VEE) and Volt Group Limited (ASX: VPR). Since 2003, Mr Torre has been the Principal of Torre Corporate, during which time he has acted as company secretary and/or director on 20 small to mid-cap listed companies.
Ms Wakefield-Evans is an experienced non-executive director and capital markets lawyer. She currently serves on the boards of Viva Energy (ASX:VEA), Sonic Healthcare (ASX:SHL), MetLife Australia (Chair), Clean Energy Finance Corporation and the UNSW Foundation. She is a Guardian of the Future Fund, Australia Member of the Takeover Panel, Co-Chair of the ASIC Simplification Panel and a member of the AICD Corporate Governance Committee. Between 1993 to 2013, Ms Wakefield-Evans was a partner at King & Wood Mallesons with extensive international experience advising listed companies in Australia and Asia.
